Terms of Service

1. Acceptance of Terms

By accessing or using LocalPuertoRico.com (the “Site”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Site.

2. Description of Service

Lumos Intellect LLC operates an online business directory that allows users to browse listings, create and manage business listings (free and paid premium tiers), search businesses by category and location, leave reviews, and access AI-powered assistance.

3. Account Registration

To create or manage a business listing, you must register for an account. You agree to provide accurate information, maintain the security of your password, and accept responsibility for all activity under your account. You must be at least 18 years old to create an account.

4. Business Listings

4.1 Listing Accuracy

You are solely responsible for the accuracy of information in your business listing, including business name, address, phone number, website, hours of operation, photos, and descriptions.

4.2 Prohibited Content

Listings may not contain false or misleading information, offensive content, illegal products or services, copyrighted material you do not own, spam, adult content, or hate speech.

4.3 Listing Review & Removal

We reserve the right to review, edit, or remove any listing that violates these Terms, at our sole discretion and without prior notice.

5. Payments & Subscriptions

5.1 Premium Plans

Premium listings require payment of subscription fees as displayed on our Pricing page. All payments are processed securely through Stripe, Inc.

5.2 Refund Policy

• 14-Day Money-Back Guarantee: If not satisfied within the first 14 days of a paid subscription, contact us for a full refund.
• After 14 days, refunds are prorated for annual plans. Monthly plans are non-refundable after the billing period begins.

5.3 Cancellation

You may cancel your premium subscription at any time. Premium features remain active until the end of the current billing period, after which your listing reverts to the Free tier.

6. Free Listings

Free listings are provided at no cost but are subject to the same accuracy requirements and prohibited content rules as paid listings. We reserve the right to limit the features or visibility of free listings.

7. Marketing Emails & CAN-SPAM Compliance

If you opt in to marketing communications, we may send occasional emails about new features, promotions, or site updates. We comply with the CAN-SPAM Act:

• All marketing emails will include accurate sender information and a clear subject line.
• Each email will include our valid physical address.
• Each email will include a clear and conspicuous opt-out/unsubscribe link.
• We will honor opt-out requests within 10 business days.
• We will not charge a fee or require additional information to process opt-out requests.

Transactional emails (account confirmations, billing receipts, listing notifications) are not marketing and may be sent without opt-in.

8. User Conduct

You agree not to use the Site for any unlawful purpose, attempt unauthorized access, scrape data without permission, create fake listings, submit fake reviews, or impersonate others.

9. Reviews & Ratings

Reviews must be based on genuine experiences. We reserve the right to remove reviews that appear fake, biased, or violate these Terms.

10. Intellectual Property

The Site's design, logo, text, graphics, and software are owned by Lumos Intellect LLC. By submitting content to your listing, you grant us a non-exclusive license to display that content on the Site.

11. Third-Party Services

We use third-party services including Stripe (payment processing), OpenAI (AI chatbot), and cloud hosting providers. We are not responsible for the actions or failures of third-party services.

12. Disclaimer of Warranties

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCAL PUERTO RICO SHALL NOT BE LIABLE FOR ANY INDIRECT OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold Lumos Intellect LLC harmless from any claims, damages, or expenses arising from your listing content, your violation of these Terms, or your violation of any law.

15. Termination

We may suspend or terminate your account and listings at any time, with or without cause. No refunds will be issued for terminations due to Terms violations.

16. Governing Law

These Terms shall be governed by the laws of the Commonwealth of Puerto Rico and applicable United States federal law. Disputes shall be resolved in the courts of San Juan, Puerto Rico.

17. Dispute Resolution

Before filing any claim, contact us at lumos.intellect@gmail.com to attempt informal resolution for 30 days. If unresolved, disputes shall be resolved through binding arbitration in San Juan, Puerto Rico. You agree to resolve disputes on an individual basis and waive any right to class action.
